These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and CopilotSEO ("we," "us," or "our"), operated in Ontario, Canada, governing your access to and use of the CopilotSEO website at copilotseo.io and the SEO analytics and content platform (collectively, the "Service").
By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Refund Policy. If you do not agree, you must not use the Service.
Where local mandatory consumer protection laws provide you with rights that cannot be contractually waived, those rights are not affected by these Terms.

CopilotSEO uses Google OAuth 2.0 for authentication. By signing in with Google, you authorize us to receive your Google account name, email address, and profile photo for the purpose of creating and maintaining your account.
You are solely responsible for all activity that occurs under your account. Notify us immediately at support@copilotseo.io if you suspect unauthorized access.
CopilotSEO is an AI-powered SEO analytics and content platform that:
No guarantee of results: SEO outcomes depend on numerous factors entirely outside our control, including search engine algorithm changes, competitor activity, and content quality. We make no guarantee of any specific increase in traffic, rankings, clicks, impressions, or revenue.
Free Plan: We offer a permanent free plan with limited features. No credit card is required. The free plan is designed to allow you to fully evaluate the platform before purchasing a paid plan.
No Free Trial of Paid Features: We do not offer a free trial of paid plans. The permanently available free plan provides sufficient access to evaluate the Service before any purchase.
Paid Plans: Paid plans (Growth and Pro) unlock additional features. Paid plans are billed on a recurring monthly basis.
No Refunds: Because the free plan allows full evaluation before purchase, all paid subscription sales are final. See our Refund Policy for the limited exceptions that apply.
Recurring Billing: By subscribing to a paid plan, you authorize us to charge your payment method automatically at the start of each billing period until you cancel. Cancellation takes effect at the end of your current billing period.
Price Changes: We reserve the right to change pricing at any time. For existing subscribers, price changes will be communicated via email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
Taxes: Applicable taxes (GST/HST, VAT, sales tax) will be added to your invoice where required by law.

Our property: The Service — including software, AI models, algorithms, design, text, graphics, and logos — is owned by CopilotSEO and protected by applicable intellectual property laws. All rights reserved.
License to you: We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business or personal purposes, in accordance with these Terms.
Your data: You retain all ownership rights in your data, including your Google Search Console data. You grant us a limited license to process your data solely to provide the Service to you.
Feedback: If you provide feedback or suggestions, you grant us an irrevocable, royalty-free license to use such feedback without any obligation of compensation.
The Service integrates with Google Search Console and Google OAuth, governed by Google's Terms of Service. Payment processing is handled by Stripe, subject to Stripe's own terms. We are not responsible for the availability, accuracy, or conduct of any third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
We do not warrant that the Service will meet your specific requirements, be uninterrupted or error-free, or that any SEO results or ranking improvements will be achieved.
Nothing in these Terms limits statutory consumer rights that cannot be excluded under the laws of your jurisdiction.
To the maximum extent permitted by applicable law, CopilotSEO shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business goodwill.
Our total aggregate liability to you shall not exceed the total amounts you paid us in the 3 months preceding the event giving rise to the claim.
Nothing in this section limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.
You agree to defend, indemnify, and hold harmless CopilotSEO from any third-party claims, damages, losses, liabilities, and reasonable legal fees arising from: your use of the Service in violation of these Terms; your violation of any third-party right; or any content you submit through the Service.
By you: You may cancel your account at any time via account settings or by contacting support@copilotseo.io. Cancellation takes effect at the end of your current billing period.
By us: We may suspend or terminate your access immediately for serious violations of these Terms, or with 30 days' notice for other reasons. If we terminate without cause, you are entitled to a prorated refund for unused paid time in the current billing period.
Upon termination, your license to use the Service ceases. Sections 7, 9, 10, 11, 13, and 14 survive termination.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
Before initiating formal proceedings, both parties agree to attempt good-faith resolution by contacting us at support@copilotseo.io and allowing 30 days to negotiate a resolution.
EU/UK consumers retain the right to bring proceedings before the courts of their country of residence and may use the EU Online Dispute Resolution platform.
For material changes, we will provide at least 30 days' notice via email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your account before the effective date.
